Terms of Service

These Terms of Service ("Terms") govern your use of AwardsDay (the "Service"), operated by Quarksoft, LLC ("we", "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a school or organization, you represent that you are authorized to accept these Terms on its behalf.

Access and accounts

Access is invite-based and granted to approved schools. You sign in with a Google Workspace account belonging to an approved school domain; personal accounts (such as @gmail.com) are not supported. You are responsible for keeping your account credentials secure and for activity under your account. We may suspend or revoke access that violates these Terms or that we reasonably believe is misused.

Free term

The Service is provided free of charge for the 2025–2026 school year. We may introduce pricing for future terms; if we do, we will give reasonable notice before any charges apply, and continued use after that notice constitutes acceptance.

You agree to use the Service only for its intended purpose — managing awards and ceremonies — and to:

Your data; ownership and offboarding

As between you and us, your school owns the data it enters. We process it only to provide the Service, as described in our Privacy Policy. A school administrator can export the school's data at any time, and a school may request a full export and permanent deletion of its data on offboarding. Deletion is irreversible.

Privacy and student data

Our handling of personal information, including student data and FERPA-related responsibilities, is described in the Privacy Policy, which is incorporated into these Terms. The school is the data controller for student information; AwardsDay is the processor.

Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features, and may update these Terms; material changes will be reflected by the "Last updated" date above.

No warranty

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for verifying recipients, counts, and printed materials before relying on them for a ceremony or order.

Limitation of liability

To the maximum extent permitted by law, Quarksoft, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data or profits, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim (which, during the free term, is zero).

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York.
